Welcome to our QR Code Generator (the "Service"), operated by Jolly QR ("Company", "we", "us", or "our"), a company organized and existing under the laws of the State of Florida. By accessing or using our website, software, APIs, or services, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility and Account Registration

To use our Service, you must be at least 18 years old or the age of majority in your jurisdiction. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. QR Code Generation and Acceptable Use

Our Service allows you to generate both static and dynamic QR codes. You retain ownership of the data you input, but you grant us a worldwide, royalty-free license to host, transmit, and display that data solely to operate the Service.

You strictly agree not to use the Service to generate QR codes that link to:

  • Phishing, malware, viruses, or malicious software.
  • Illegal, fraudulent, or deceptive content.
  • Defamatory, obscene, harassing, or hateful material.
  • Content that infringes upon the intellectual property rights of any third party.

We reserve the right, in our sole discretion, to monitor, deactivate, or delete any QR code that violates these Terms, without notice or liability to you.

3. Subscription, Cancellation, and Refund Policy

  • Subscription & Billing: Certain aspects of the Service are provided on a paid subscription basis. You will be billed in advance on a recurring, periodic cycle (monthly or annually).
  • Cancel Anytime: You may cancel your subscription at any time through your account dashboard or by contacting support.
  • No Refunds: All payments are completely non-refundable. Upon cancellation, your subscription will remain active until the end of your current billing cycle, but you will not receive a refund or credit for any unused portion of the service period.

4. Service Availability and Dynamic QR Codes

While we strive for maximum uptime, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. For dynamic QR codes, the destination URL relies entirely on our routing infrastructure. We do not guarantee uninterrupted access, and we are not responsible for any downtime, scanning failures, or redirect errors that may occur due to maintenance, carrier networks, or technical disruptions.

5. Absolute Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL OPERATE WITHOUT INTERRUPTION, OR WILL BE COMPLETELY SECURE OR ERROR-FREE.

6. Limitation of Liability and Indemnification

  • No Liability for Data or Security: You explicitly acknowledge that data transmission and storage over the internet carry inherent risks. The Company shall NOT be held liable for any data loss, data corruption, unauthorized access, data leaks, data breaches, or any other cybersecurity liabilities, ransomware incidents, or data incidents. You are responsible for maintaining your own independent backups of your QR code destination data.
  • Exclusion of Damages: In no event shall the Company, its directors, officers, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Service.
  • Cap on Liability: Our total liability to you for any claims arising out of these Terms or the use of the Service shall not exceed the total amount paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to liability.
  • Florida Deceptive and Unfair Trade Practices Act (FDUTPA) Waiver: To the maximum extent permitted by Florida law, you waive any right to bring claims against the Company under FDUTPA or similar state consumer protection statutes for business-to-business usage of this Service.
  • Indemnification: You agree to defend, indemnify, and hold harmless the Company and its officers from any third-party claims, damages, obligations, losses, liabilities, costs, or debt resulting from your violation of these Terms or your misuse of the generated QR codes.

7. Mandatory Dispute Resolution and Agreement to Negotiate First

  • Mandatory Informal Resolution: Before initiating any formal legal proceeding, arbitration, or lawsuit, you must contact our company directly and work with us in good faith to resolve the issue. You agree to submit a written description of your dispute, along with supporting documentation, to our support email.
  • Good Faith Period: Both parties agree to spend at least forty-five (45) days from the date our company receives your notice trying to resolve the matter through informal negotiation. Initiating a lawsuit without completing this 45-day negotiation phase constitutes a material breach of these Terms.
  • Class Action Waiver: YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

8. Governing Law and Exclusive Venue

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
